Alternative Investment Fund : General Partner

A General Partner (GP) is the managing entity in a Limited Partnership (LP) structure that is responsible for the management, operations, and strategic direction of an investment fund. In the context of Alternative Investment Funds (AIFs), the GP plays a central role in investment decision-making, fund governance, and capital deployment, acting as the fiduciary representative of the investors, also known as Limited Partners (LPs).

Core Responsibilities

  1. Investment Management

    • The GP identifies, evaluates, and executes investment opportunities consistent with the fund’s investment mandate and strategy.

    • Oversees portfolio monitoring, value creation, and exit planning to optimize returns for investors.

  2. Fund Administration

    • Responsible for regulatory compliance, accounting, audit coordination, investor reporting, and risk management.

    • Ensures the fund operates in accordance with the Limited Partnership Agreement (LPA) and applicable regulations.

  3. Capital Raising and Investor Relations

    • The GP manages the fundraising process, negotiates terms with potential LPs, and maintains ongoing communication through quarterly reports, capital calls, and distribution notices.

  4. Performance Compensation

    • The GP typically earns:

      • A Management Fee (usually 1.5–2.5% of committed or invested capital) for operational oversight.

      • Carried Interest (generally 15–20% of profits) as a performance incentive after achieving a defined hurdle rate or preferred return.

Legal and Liability Framework

  • The GP holds unlimited liability for the fund’s obligations and activities, distinguishing it from the limited liability of LPs.

  • To mitigate this, GPs often operate through a limited liability entity (e.g., LLP or LLC) while retaining management authority.

  • In India, under the SEBI (Alternative Investment Funds) Regulations, 2012, the Investment Manager or Sponsor typically performs the role of the GP.

Alignment of Interests

The GP’s compensation structure and capital commitment (usually 1–5% of total fund size) ensure alignment with LP interests. The GP’s performance is directly linked to the success of the fund’s investments, promoting disciplined management and prudent risk-taking.

Strategic Role in Alternative Investments

  • Private Equity & Venture Capital: GPs design and execute growth, buyout, and exit strategies for portfolio companies.

  • Private Debt & Mezzanine Funds: GPs structure debt instruments, manage credit risk, and optimize yield generation.

  • Hedge Funds: GPs implement trading strategies and oversee risk-adjusted performance.
